Terms of Use
Last updated: 30 October 2026.
1. Acceptance and who we are
These Terms of Use (“Terms”) govern your access to and use of www.databexx.com (the “Website”) and the services, training, products and tools provided by Databexx Limited (“Databexx”, “we”, “us” or “our”).
By accessing the Website, registering for training, purchasing a product, or engaging our services, you agree to these Terms. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind that organisation, and “you” refers to that organisation.
If you do not agree to these Terms, do not use the Website or our offerings.
You must be at least 18 years old to use our offerings.
2. Order of precedence and definitions
Where you have signed a separate agreement with Databexx, that agreement governs the engagement it covers. If there is a conflict, documents apply in this order:
- a signed master services agreement, statement of work, proposal or order form
- product- or programme-specific terms presented at the point of purchase or registration
- these Terms
In these Terms:
- “Services” means consulting, advisory, implementation, automation, managed IT and related professional services.
- “Training” means courses, workshops, bootcamps and learning programmes, whether delivered in person, live online or on demand.
- “Products” means digital products, assessments, frameworks, templates, reports and tools, whether free or paid.
- “Offerings” means the Website, Services, Training and Products together.
- “Agreement” means any signed or accepted document referred to in point 1 above.
3. Use of the website
You may use the Website for lawful purposes to learn about Databexx, contact us, and access our Offerings.
You must not:
- use the Website in a way that breaches any applicable law or regulation
- attempt to gain unauthorised access to the Website, its servers or connected systems
- introduce viruses, malware or other harmful code
- scrape, copy or harvest content or data by automated means without our written consent
- use Website content to train artificial intelligence or machine learning models without our written consent
- impersonate any person or misrepresent your affiliation with any organisation
- submit false, misleading or unlawful information through forms or assessments
Accounts. Where you create an account, for example to access online courses, you are responsible for keeping your login details confidential and for all activity under your account. Notify us promptly at info@databexx.com if you suspect unauthorised use.
Availability. We aim to keep the Website available but do not guarantee uninterrupted access. We may change, suspend or withdraw any part of the Website without notice.
Third-party links. The Website may link to third-party websites. We do not control and are not responsible for their content or practices.
4. Consulting and managed services
Scope. The scope, deliverables, timelines and fees for Services are set out in the relevant Agreement. Information on the Website describes our capabilities in general terms and is not an offer capable of acceptance.
Proposals. Proposals and quotations are valid for the period stated in them, or 30 days if no period is stated. An engagement begins when both parties have accepted the Agreement or when we begin work at your written request.
Your responsibilities. You agree to:
- provide timely access to the people, information, systems and decisions we reasonably need
- ensure the information you provide is accurate and complete
- obtain any licences, consents and approvals needed for us to access your systems and data
- maintain appropriate backups of your data before we make changes to your systems
Delays or additional costs caused by a failure to meet these responsibilities may lead to revised timelines or fees.
Changes. Changes to scope must be agreed in writing, including any effect on fees and timelines.
Outcomes. We perform Services with reasonable skill and care in line with good industry practice. Unless an Agreement states otherwise, we do not guarantee specific business results, cost savings or returns on investment.
5. Training and courses
Registration. A place on a Training programme is confirmed only when we receive full payment, unless we have agreed otherwise in writing.
No refunds. All Training fees are non-refundable once paid, including where you do not attend, attend only part of a programme, or do not complete an on-demand course. This does not affect any rights you have under applicable law that cannot be excluded.
Changes by Databexx. We may change trainers, venues, schedules or delivery formats where reasonably necessary. If we cancel a programme or postpone it by more than 30 days, you may choose a full refund of fees paid for that programme or a credit towards another programme.
Access to online courses. Access is personal to the registered participant and may not be shared. Unless stated otherwise at purchase, access to on-demand content lasts for 12 months from the date of purchase.
Certificates. Certificates are issued to participants who meet the stated completion and assessment requirements. A certificate confirms completion of a Databexx programme and is not a professional licence or vendor certification unless expressly stated.
Conduct. We may remove a participant who disrupts a session or breaches these Terms, without refund.
Recordings. Live sessions may be recorded for quality and for the use of registered participants. We will inform participants before recording begins.
6. Digital products and free tools
Free tools. Free tools, including the AI self-assessment, are provided for general guidance. Scores, ratings and recommendations are indicative, based only on the information you provide, and are not a substitute for a full assessment or professional advice.
Paid products. Paid Products, such as frameworks, templates, playbooks and reports, are licensed to you for use within your own organisation on the terms in section 8. Fees for digital Products are non-refundable once the Product has been delivered or made available for download, except where required by applicable law.
AI Readiness Audit and similar assessments. Findings reflect the information, access and conditions available at the time of the assessment. You are responsible for decisions you make based on them.
Changes and withdrawal. We may update, replace or withdraw any Product or free tool at any time. Updates do not reduce the licence you have already paid for.
7. Fees and payment
Currency. Fees are quoted in Kenya Shillings (KES) or United States Dollars (USD), as stated in the relevant quotation, invoice or checkout page.
Taxes. Fees exclude applicable taxes, including value added tax and withholding tax, unless stated otherwise. Where you are required to withhold tax, you must provide the relevant withholding certificate promptly.
Payment terms. Invoices are payable within the period stated on the invoice. Online purchases are payable in full at checkout. Card and mobile payments are processed by our third-party payment provider, and we do not store full card details.
Bank and transfer charges. You are responsible for bank, transfer and currency conversion charges so that we receive the full invoiced amount.
Late payment. If any amount is overdue, we may suspend Services, Training access or Product access until it is paid, and charge late payment interest where provided for in the Agreement or invoice.
Disputed invoices. You must notify us in writing of any disputed amount within 14 days of the invoice date and pay the undisputed portion on time.
8. Intellectual property
Our materials. Databexx and its licensors own all intellectual property rights in the Website, Training materials, Products, methodologies, frameworks, tools, know-how and brand, including the Databexx name and logo (“Databexx Materials”).
Your licence. Subject to payment of applicable fees, we grant you a non-exclusive, non-transferable licence to use Databexx Materials provided to you for your internal business purposes only. You must not:
- resell, sublicense, publish or distribute Databexx Materials
- use them to deliver training, consulting or similar services to third parties
- remove copyright, trademark or attribution notices
Deliverables. Ownership of deliverables created specifically for you under an Agreement is set out in that Agreement. Unless the Agreement states otherwise, ownership of client-specific deliverables passes to you on full payment, while Databexx keeps ownership of Databexx Materials incorporated into them and grants you a licence to use those materials as part of the deliverables.
Your materials. You keep ownership of the data, content and materials you provide to us. You grant us a licence to use them only as needed to deliver the Offerings.
Feedback. If you give us suggestions or feedback, we may use them to improve our Offerings without obligation to you.
9. AI outputs and third-party platforms
AI-generated outputs. Some Offerings use or involve artificial intelligence tools. AI outputs can be inaccurate, incomplete or biased. You are responsible for reviewing outputs before relying on them and for decisions made using them.
AI solutions we build or configure. Where we design or deploy AI, automation or analytics solutions for you, you remain responsible for how they are used in your organisation, including human oversight, compliance with laws that apply to your sector, and the quality of the data you provide.
Third-party platforms. Many Offerings rely on software, cloud and platform providers that we do not control. Your use of those platforms is governed by the provider’s own terms. We are not responsible for their availability, performance, security, pricing or changes to their features, although we will work with you to manage the impact where they affect our Services.
Licences. Unless an Agreement states otherwise, you are responsible for acquiring and paying for third-party licences and subscriptions needed for your solution.
10. Confidentiality and data protection
Confidentiality. Each party will keep confidential any non-public business, technical or financial information received from the other and use it only to perform or receive the Offerings. This obligation does not apply to information that is public through no fault of the receiving party, already known to it, independently developed, or required to be disclosed by law. It continues for three years after the relationship ends, unless an Agreement states otherwise.
Personal data. We handle personal data in line with our Privacy Notice. Where we process personal data on your behalf as part of the Services, we will do so under a data processing agreement or the data protection terms in the relevant Agreement.
Case studies. We will not name you as a client or publish a case study about your engagement without your prior written consent.
11. Disclaimers and limitation of liability
Website content. Content on the Website, including articles, insights and resources, is provided for general information only. It is not legal, financial, tax or other professional advice and should not be relied on as such.
No implied warranties. Except as expressly stated in these Terms or an Agreement, the Offerings are provided “as is” and “as available”, and we exclude all implied warranties, conditions and representations to the fullest extent permitted by law.
Liability cap. Our total liability to you arising out of or in connection with the Offerings, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees you paid to Databexx in the 12 months before the event giving rise to the claim. Where you have used only free Offerings, our total liability is limited to USD 100.
Excluded losses. We are not liable for any indirect or consequential loss, or for loss of profits, revenue, business, goodwill, anticipated savings or data, even if foreseeable.
What we do not exclude. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
12. Indemnity, suspension and termination
Indemnity. You will indemnify Databexx against losses, claims and reasonable costs arising from your breach of these Terms, your misuse of the Offerings, or materials you provide to us that infringe a third party’s rights or breach applicable law.
Suspension. We may suspend or restrict your access to any Offering, with notice where practicable, if you breach these Terms, fail to pay amounts due, or use the Offerings in a way that creates legal, security or reputational risk.
Termination. Either party may terminate an engagement in accordance with the relevant Agreement. We may terminate your access to the Website, Training or Products if you materially breach these Terms and, where the breach can be remedied, do not remedy it within 14 days of notice.
Effect of termination. On termination, you must pay all fees for work performed and costs incurred up to the termination date, and stop using Databexx Materials not yet paid for. Sections 7, 8, 10, 11, 12 and 13 continue to apply after termination.
13. Governing law and dispute resolution
Governing law. These Terms, and any dispute or claim arising out of or in connection with them or the Offerings, are governed by the laws of Kenya.
Negotiation. If a dispute arises, either party may notify the other in writing. Senior representatives of both parties will meet, in person or online, and try in good faith to resolve it within 30 days of that notice.
Arbitration. If the dispute is not resolved within 30 days, either party may refer it to final and binding arbitration under the Arbitration Act, 1995 of Kenya and the rules of the Nairobi Centre for International Arbitration in force at the time. The tribunal will consist of a single arbitrator, the seat of arbitration will be Nairobi, and the language will be English.
Urgent relief. Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction, or from bringing proceedings to recover undisputed fees.
14. General terms, changes and contact
Changes to these Terms. We may update these Terms from time to time. The updated version applies from the date it is published on the Website. Changes do not affect Agreements already signed or purchases already completed.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, civil unrest, government action, power or internet outages, and failures of third-party platforms. This does not excuse payment obligations.
Independent contractors. Databexx and you are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
Non-solicitation. During an engagement and for 12 months after it ends, you will not directly solicit for employment any Databexx personnel who worked on your engagement without our written consent. This does not restrict general recruitment advertising.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor business.
Severability and waiver. If any provision is found invalid or unenforceable, the remaining provisions continue in effect. A failure or delay in enforcing a right is not a waiver of it.
Entire agreement. These Terms, together with any Agreement and our Privacy Notice, form the entire agreement between you and Databexx on their subject matter.
Notices. Notices under these Terms must be in writing and may be sent by email. Notices to Databexx should be sent to info@databexx.com.
